ЦЕНА, СРОК ДЕЙСТВИЯ, УСЛОВИЯ И ФОРМЫ ОПЛАТЫ

1. - Все цены указываются на условиях «франко-завод» (EXW) или на условиях поставки до места покупателя (без разгрузки), оговариваемых в заказе. В международных сделках, условия поставки регулируются условием «Инкотерм», оговоренном в коммерческом предложении.  

2. - Все цены являются фиксированными, при условии размещения заказа в течение срока действия договора, а также при условии осуществления поставки в оговоренный период. Максимально допустимый срок поставки составляет (3) месяца с даты заказа. В случае если срок выполнения заказа превышает 3 месяца, Цена должна быть пересмотрена в соответствии с колебаниями цен на сырье; при этом исходным промежутком колебаний считается колебание индекса ПЛАТТ с даты получения оригинала Заказа по дату возобновления поставки. BOSCO сохраняет за собой право считать отмененными заказы или их части, поставка по которым не была завершена  в пятимесячный срок (как максимум) с даты размещения заказа. 

3. – Не допускается наложение каких-либо штрфных санкций или задержка счета-фактуры даже если они основаны на наличии повреждений товара при поставке. 

4. - Срок оплаты составляет 60 дней или может быть оговорен в предложении. В случае несоблюдения данного срока оплаты Поставщик обязуется выплатить дополнительную сумму, составляющую 5% от суммы по договору, или максимальную разрешенную процентную ставку, установленную местными законами, в том случае, если она превышает 5%.  

5. - Предоставление открытого кредита производится только после заключения договора на его страхование.  

6. – Ни в коем случае не допускается оплата телеграфным денежным переводом в момент окончания установленного Срока платежа.

PRECIO, VALIDEZ, PLAZO Y FORMA DE PAGO . 

1.- Los precios se considerarán “Ex - Works” (EXW), ó entregado en destino (sin incluir descarga), según quede detallado en oferta. A nivel internacional, las condiciones de entrega quedarán reguladas por el Incoterm que se indique en la propuesta económica. 

2.- Los precios se consideran fijos siempre que la totalidad del pedido se curse antes del plazo de validez del suministro se realice dentro del Plazo de suministro acordado con el límite máximo de 3 meses de fecha pedido. Para Plazos superiores a 3 meses el Precio se adaptará a las oscilaciones del precio de la materia prima, tomando como referencia el cambio en el índice PLATT´S entre las fechas de recepción del Pedido original y el de la reanudación del suministro. BOSCO se reserva el derecho de considerar cancelados aquellos pedidos o restos de pedidos que no se hayan terminado de suministrar en un plazo máximo de 5 meses de fecha pedido. 

3.- No se aceptará ningún tipo de penalización ó retención en Factura incluso las que se aleguen justificadas por daños en la mercancía a su llegada. 

4.- El Plazo de Pago será de 60 días, ó el acordado en oferta. BOSCO facturará un coste financiero por cualquier demora en el mismo del 5 ó el máximo legal local si este fuese superior. 

5.-  Las condiciones de venta a crédito abierto quedarán supeditadas a la concesión o no de riesgo crediticio.  

6.- No se acepta en ningún caso la forma de Pago por Transferencia al final del Plazo de pago.

 PRICE, VALIDITY PERIOD, TERMS AND MEANS OF PAYMENT . 

1. - All prices shall be considered “Ex – Works” (EXW), or delivered to destination (excluding unloading), depending on the stipulations of the offer. On international scale, supply conditions will be regulated by the Incoterm indicated in the economic offer. 

2. - All prices shall be deemed fixed provided that the entire order is made within the validity period and also provided that the supply is made within the agreed supply period, with a maximum limit of three (3) months after the order date. In the case of periods exceeding 3 months, the Price shall be adjusted to the fluctuation in prices of raw materials, taking as point of reference changes in PLATT’s index between the date of receipt of the original Order and the date of the renewal of supply. BOSCO reserves the right to consider as cancelled those orders or rests of orders not supplied within a maximum period of five (5) months after the order. 

3. - Penalties or retention in invoice of any type shall not be accepted, not even those claimed to be justified by damage in goods upon delivery. 

4. - Terms of payment shall be 60 days, or as agreed on the offer. Any delay in this term of payment shall arise in a financial cost of 5%, or the maximum legal local percentage rate if this were to be higher.

 5. - Open credits are subject to the approval of a Credit insurance cover.

 6. - The payment as wire Transfer at due date shall not be accepted under any circumstances.

ПОСТАВКА, УСЛОВИЯ ПОСТАВКИ, ЗАДЕРЖКИ 

1.- BOSCO сохраняет за собой право, в разумный и надлежащий срок, известив об этом КЛИЕНТА, использовать другие виды транспорта и изменять сроки поставки в случае возникновения особых обстоятельств, независящих от BOSCO: забастовок на транспорте или таможне, задержек при отгрузке, в пути следования или при необходимости осуществления перевозки альтернативными видами транспорта. В случае, если данные обстоятельства влияют каким-либо образом на стоимость транспортировки продукции, BOSCO имеет право произвести корректировку стоимости доставки.

2. - В случае получения некачественных товаров с видимыми дефектами на поверхности, КЛИЕНТ обязуется письменно известить об этом BOSCO в уведомлении о доставке с указанием характера повреждений или дефектов. КЛИЕНТ обязуется направить письменное уведомление не позднее четырех (4) рабочих дней с момента получения товаров. BOSCO сохраняет за собой право произвести осмотр товаров, которые, по мнению КЛИЕНТА, являются дефективными, для определения причины дефекта, и в случае подтверждения его ответственности за подобный дефект, договаривается с КЛИЕТОМ о способе решения возникшей проблемы. Возврат продукта без письменного согласия BOSCO не допускается ни при каких условиях. Аналогичным образом, не допускается выплата какой-либо компенсации за установленный бракованный продукт без предварительного разрешения BOSCO.  

3.- В случае если товары, по мнению КЛИЕНТА, не соответствуют спецификациям и если BOSCO уведомлена об этом,  то после получения товаров и проведения Контрольных приемочных испытаний, она вправе получить данные об их результатах и провести сравнительные испытания. КЛИЕНТ обязуется ни при каких условиях не возлагать на BOSCO издержки на проведение Приемочных испытаний; BOSCO имеет право возлагать на КЛИЕНТА издержки по  сравнительным испытаниям, в случае если товары, по их результатам, признаны соответствующими спецификациям.

В случае если материал признается не соответствующим спецификации, BOSCO обязуется безотлагательно и в максимально короткий срок произвести его замену, без дополнительной оплаты для КЛИЕНТА.

 4. - При получении Заказа, BOSCO обязуется сообщить КЛИЕНТУ приблизительный срок поставки, исходя из оценки времени, необходимого для их изготовления.

 5.- КЛИЕНТ не имеет право аннулировать заказ или требовать возмещения ущерба в связи с задержками сроков поставок, вызванных обстоятельствами, не зависящими от BOSCO, если они в достаточной степени документированы.  

6.- BOSCO имеет право приостановки поставки товаров по Заказу в случае необоснованных задержек частичных выплат  КЛИЕНТОМ стоимости поставляемых товаров или нарушения им Условий договора, не ислючая при этом применение других мер, включая судебные.              

7. - BOSCO имеет право взыскивать с КЛИЕНТА дополнительно к стоимости продукта издержки за хранение, в случае если КЛИЕНТ запросит задержать оговоренный ранее срок поставки товаров.

   ENTREGA, PLAZO DE ENTREGA, RETRASOS . 

1.- Con la debida notificación previa al CLIENTE, BOSCO se reserva el derecho de modificar la forma o método de transporte acordado y el plazo de entrega, a causa de contingencias especiales fuera del control de BOSCO tales como huelgas de transporte, de aduanas, retrasos en el envío, rutas ó modalidades alternativos de transporte. Igualmente BOSCO queda autorizado a modificar el precio de suministro si dichas contingencias afectan al mismo de algún modo. 

2.- En el caso de recepción de mercancía considerada como defectuosa por daño superficial visible, el CLIENTE deberá indicar por escrito en el albarán de entrega la naturaleza del daño ó defecto de la mercancía, además de notificarlo a BOSCO por escrito antes de los Cuatro (4) días laborales siguientes a su recepción. BOSCO tiene derecho a inspeccionar la mercancía considerada defectuosa para determinar el origen del problema y, en caso de confirmarse, acordar con el CLIENTE su solución. En ningún caso se aceptará la devolución del producto sin consentimiento escrito de BOSCO, ni indemnización alguna tras instalación del material defectuoso sin la previa autorización de BOSCO. 

3.- En el caso de que la mercancía sea considerada NO-Conforme a especificaciones, siempre que éstas sean conocidas previamente por BOSCO, con posterioridad a su recepción y como resultado de ensayos de Control de Recepción, BOSCO tiene derecho a conocer dichos resultados y a realizar a su costa nuevos ensayos de contraste. El Cliente en ningún caso podrá repercutir a BOSCO el coste de los ensayos de recepción aunque BOSCO sí podrá repercutir al CLIENTE el coste de los ensayos de contraste si se determina finalmente que el material era Conforme.

En el caso de que el material sea declarado No-Conforme, BOSCO lo sustituirá sin cargo alguno en el menor tiempo posible. 

4.- A la recepción del Pedido, BOSCO proporciona al CLIENTE un Plazo de entrega aproximado a partir de una estimación interna en los plazos de producción. 

5.- Los Retrasos en el Plazo de entrega justificados ó que escapan al control de BOSCO, NO serán objeto de cancelación de pedido ni de reclamación por daños por parte del CLIENTE. 

6.- BOSCO queda autorizado a interrumpir el suministro de un Pedido ante demoras no justificadas en los pagos parciales ó incumplimientos de las Condiciones del Contrato, todo ello sin renuncia a la adopción de otras medidas, incluso las legales. 

7.- BOSCO queda autorizado a facturar un coste de almacenaje sobre el precio del producto si el CLIENTE solicita un retraso en la entrega de la mercancía respecto a los plazos de entrega acordados.

  DELIVERY, DELIVERY TERMS, DELAYS  .

 1.- BOSCO reserves the right, giving the CLIENT reasonable and due notice, to modify the agreed form or mode of transport and the delivery date due to special contingencies beyond the control of BOSCO such as transport or customs strikes, delays in dispatch, routes or alternative modes of transport. In the event that these contingencies should affect in any way the means of transport BOSCO may vary the price of supply.          

2. - In case of receipt of goods considered to be defective due to visible superficial damage, CLIENT shall indicate in writing on the delivery note the nature of damage or defect of goods. CLIENT shall give notice in writing within four (4) working days from receipt of goods. BOSCO has the right to inspect the goods considered defective in order to determine the origin of the problem and, in case of confirmation, to agree a solution with the CLIENT. Return of product without written consent of BOSCO shall not be accepted under any circumstances. Likewise, no indemnity will be paid after installation of a defective product without prior authorization of BOSCO.  

3.- In the event of goods being deemed not to conform to specifications, and provided these are known to BOSCO, after receipt of goods and as a result of Control Tests at Reception, BOSCO has the right to be informed of these results and to carry out new tests of contrast. Under no circumstances may the CLIENT charge BOSCO the cost of Tests at Reception, although BOSCO may charge the CLIENT the cost of contrast tests if goods are found to conform to specifications.

In the event of material being declared not in conformity with specification, BOSCO shall promptly replace them with no charge to the CLIENT and as soon as possible. 

4. - Upon receipt of Order, BOSCO will provide the CLIENT with an approximate delivery term, given an internal estimate of production time. 

5.- Justified delays in the delivery term or delays beyond the reasonable control of BOSCO shall not give the CLIENT the option to cancel the order nor to claim damages.               

6.- BOSCO shall be entitled to stop supply of an Order in case of unjustified delays in partial payments or breach of Conditions of Contract, without waiving the right to take any other measures, even legal steps.              

7. - BOSCO shall be entitled to charge storage costs in addition to the price of the product if the CLIENT requests a delay in delivery of goods regarding the term previously agreed.

 ГРАНИЦЫ ОТВЕТСТВЕННОСТИ

1. - КЛИЕНТ согласен с тем, что техническая помощь и консультации, предоставляемые BOSCO, осуществляются ею с желанием решить проблемы и ограничиваются знаниями и информацией, обладаемыми BOSCO на текущий момент. BOSCO не берет на себя ответственности за возможный ущерб, возникший вследствие рекомендаций, данных в качестве  технической поддержки, если такая ответственность не указана в разделе контратка “Техническая Поддержка”.

 2. - BOSCO не несет ответственности в случае прямых или косвенных убытков, вреда, нанесенного окружающей среде; косвенного, особого, дополнительного и косвенного ущерба, включая, но не ограничиваясь ущерб в отношении услуг, имущества; ущерб, причиненный компании или другим ее подразделениям; ущерб и потерю имущества и оборудования; упущенную выгоду или инвестиции, капитальные затраты; издержки, понесенные при закупке материалов для замены или вызванные претензиями третьих сторон.

 3. - Ответственность BOSCO по договору ограничивается стоимостью дефективных товаров; при этом товары должны быть возвращены на фабрику BOSCO.

 LÍMITE DE RESPONSABILIDAD. 

1.- El CLIENTE acepta que cualquier tipo de asistencia ó asesoramiento técnico proporcionado por BOSCO se realiza de buena fe y con los límites del conocimiento actual ó de la propia información facilitada. Salvo contrato expreso de Asesoramiento Técnico, BOSCO no se hace responsable de daños originados como consecuencia del mismo. 

2.- BOSCO en ningún caso será responsable por daños directos ó indirectos, daño medioambiental, pérdidas indirectas, especiales, incidentales, de consecuencia, incluyendo pero no limitados a pérdida de servicio o contenido, gastos de fábrica u otras instalaciones, daños y pérdida de la propiedad y maquinaria, pérdida de beneficios o ingresos, gastos de capital, gastos para la compra de material de sustitución, o reclamaciones de terceros. 

3.- El límite de responsabilidad de BOSCO será en cualquier caso el valor de la mercancía defectuosa, que en todo caso será devuelta a fábrica.

 LIMITATION OF LIABILITY . 

1. - The CLIENT accepts that any technical assistance or advice provided by BOSCO is made in good faith and restricted to present knowledge or to the information provided. BOSCO assumes no liability for damages resulting from technical advice, except express technical assistance contract. 

2. - BOSCO shall not be liable in any case for direct or indirect damages, environmental damages, indirect, special, incidental and consequential loss, including but not limited to loss of services or contents, expenses of the company or other facilities, damages to or loss of property and machinery, revenue or capital loss, capital expenditure, expenses incurred in purchasing replacement material, or third parties’ claims. 

3. - BOSCO’s limitation of liability shall be in any case the value of defective goods, and goods will always be returned to BOSCO’s Factory.

  ГАРАНТИЯ

1. - BOSCO гарантирует, что в продукт не имеет производственных дефектов и скрытых повреждений. Срок действия этой гарантии устанавливается в соответствии с Гражданским кодексом страны, в которую осуществляется поставка товаров, и не может превышать 10 лет.

Гарантия также покрывается соответствующим договором Страхования гражданской ответственности и по обязательствам, связанным с экологией, заключенного со Страховой компанией. КЛИЕНТ имеет право быть ознакомленым с Сертификатом, свидетельствующим наличие данного договора.

2.- BOSCO не несет никакой юридической ответственности по пунктам договоров о гарантиях, данных как в письменной и так и устной форме агентами, распространителями и организациями, занимающимися установкой, если не имеется на это письменного подтверждения BOSCO.

3. - В случае обнаружения в продукте BOSCO дефекта во время гарантийного периода, КЛИЕНТ обязуется предоставить BOSCO полный доступ к дефектному участку и при необходимости открыть его. В случае если претензия покрывается Гарантией, BOSCO вправе по собственному усмотрению принимать решение о замене или восстановлении свойиств некачественных материалов. В случае если претензия не покрывается Гарантией, затраты, связанные с инспектированием АТРАФИЛ материала,  относятся на счет КЛИЕНТА. Кроме этого, КЛИЕНТ оплачивает издержки по возможному ремонту и замене материала.

4.- Ущерб, возникший в результате неправильной установки и операций с продуктом, неправильного планирования работ, неадекватного использования оборудования, перевозкой техники, людей и животных, случайных повреждений и повреждений, вызванных актами вандализма или чрезвычайными обстоятельствами, специально исключается из вышеуказанной статьи. Ущерб, причиненный компонентами, не произведенными BOSCO или вызванный воздействием на продукт запрещенных химических продуктов, а также скрытые дефекты несущей поверхности пластины или основы, о которых BOSCO не был предварительно извещен, также исключается из статьи о Гарантиях.      

5. - Дата начала действия Гарантийного срока зависит от даты полного платежа за поставку.

 GARANTÍA 

1.- BOSCO Garantiza su producto por defecto de fabricación ó daño oculto por el plazo legal que indique el Código Civil del País receptor de la mercancía, con el límite máximo de 10 años.

La Garantía se encuentra además amparada con el correspondiente Seguro de Responsabilidad Civil y de Medio Ambiente suscrito con empresa de Seguros y cuyo Certificado oficial está a disposición del Cliente.

2.- En ningún caso BOSCO quedara vinculada a cláusulas de Garantía, escritas ó verbales, facilitadas por agentes, distribuidores ó instaladores no aceptadas expresamente en Documento por BOSCO. 

3.- En el caso de detectarse durante el Plazo de Garantía un defecto atribuible al producto BOSCO el CLIENTE facilitará el libre acceso a la zona dañada, descubriéndola si fuese necesario. Si la reclamación está cubierta por la Garantía, BOSCO efectuará su reparación y/o sustitución (a su elección en el ejercicio de su mejor opinión técnica) de los materiales defectuosos. Si el defecto no estuviera cubierto, el CLIENTE será responsable de los gastos de la inspección de BOSCO, y por los gastos de reparación y/o sustitución que haya que efectuar. 

4.- Quedan expresamente excluidos aquellos daños ocasionados por una Instalación ó manipulación inadecuada del producto, un diseño defectuoso de la obra, el uso anormal de la instalación, tránsito de maquinaria, personas o animales, los fortuitos y los producidos por actos vandálicos o causas de fuerza mayor. Igualmente  quedan excluidos los daños aparecidos en componentes no fabricados por BOSCO, los ocasionados por exposición del producto a productos químicos no previstos y los debidos a vicios ocultos en la superficie de apoyo de la lámina o en el subsuelo que no hayan sido detectados o puestos en conocimiento de BOSCO. 

5.- El comienzo del Plazo para cualquier Garantía estará supeditado al Abono completo del suministro.

      WARRANTY  

1. - BOSCO warrants that the product shall be free of manufacturing defects or latent damage for the statutory period established under the Civil Code of the recipient country of the goods with a maximum limit of 10 years.

The Warranty is also protected by a corresponding General Liability & Environmental Insurance signed with an Insurance company, the Official Certificate of which is at CLIENT’s disposal. 

2.- Under no circumstances shall BOSCO be bound to any warranty clause, either written or verbal, provided by agents, distributors or installers without the clause having been expressly accepted in writing by BOSCO. 

3. - If, during the warranty period, the product of BOSCO is found to be defective, the CLIENT shall give BOSCO free access to the damaged zone and if necessary reveal said zone. If the claim is covered by the Warranty, BOSCO itself shall decide whether to repair or replace the defective materials at its own choice. If the defect is not covered, costs incurred in inspection by BOSCO shall be at CLIENT’s expense. CLIENT shall also be liable for any expenses of repair or replacement to be carried out. 

4.- Any damage resulting from an inappropriate Installation or manipulation of  the product, a bad works design,  the unproper use of the installation, the transit of machinery, people or animals, accidental damage, damage caused by vandalistic acts or force majeur are hereby expressly excluded. Damages in components not manufactured by BOSCO, or those resulting from exposure of the product to unexpected chemical products and from latent defect of the bearing surface of the sheet or of the subsoil undetected or of which BOSCO has not been informed likewise shall be also excluded.              

5. - Commencement of any Warranty Period shall depend on the full payment of supply.

ЗАКОНОДАТЕЛЬСТВА .

 1. - Обе стороны, BOSCO и КЛИЕНТ, соглашаются о том, что настоящий договор относится к юрисдикции Суда гор. Мадрид, Испания, в компетенцию которого входит урегулирование споров, возникающих в отношении толкования положений настоящего договора.              

2.- До рассмотрения вопроса в Суде, обе стороны соглашаются на то, что в качестве посредника при урегулировании споров  выступает Арбитражный суд Испанской торгово-промышленной палаты.              

3.- Любые обязательства Сторон, не охватываемые данными условиями, регулируются законами Испании, за исключением положений, подпадающих под действие Конвенции ООН о Договорах Международной купли-продажи товаров (CISG).

  SOMETIMIENTO A LEY Y FORO DE LITIGIO 

1.- Ambas partes, BOSCO y CLIENTE, aceptan la jurisdicción de los Tribunales de Madrid, España, para la resolución de cualquier conflicto en la interpretación de las presentes condiciones. 

2.- Previo al Litigio en Tribunales de Justicia, ambas partes aceptan en primera instancia la mediación por Arbitraje en Cámara de Comercio radicada en España. 

3.- Cualquier acuerdo fuera de las presentes Condiciones estará sujeto a la Ley en España excluyendo la Convención de las Naciones Unidas para Contratos Internacionales de Venta de mercancías (CISG).

 COMPLIANCE WITH LAW AND APPLICABLE LAW 

1. - Both parties, BOSCO and CLIENT, consent to the jurisdiction of the Courts of Madrid, Spain, for the settlement of any conflict arising concerning the construction of these conditions.              

2.- Before litigation in Courts of Law both parties in first place consent to mediation through Arbitration in a Chamber of Commerce located in Spain.              

3.- Any agreement between the Parties beyond these conditions shall be subject to Spanish Law excluding the United Nations Convention on International Contracts for Sale of Goods (CISG).
